Terms of Service.

These Terms of Service constitute a legally binding agreement between you and Ebrius LLC ("Company") regarding your access to and use of the website https://aeto.app and the Aeto application (collectively, the "Services"). Users under 18 are not permitted to use the Services.

1. Our Services

The information provided through the Services is not intended for distribution in jurisdictions where it would violate local law or require registration. The Services do not comply with industry-specific regulations such as HIPAA or FISMA. Users may not utilize the Services in violation of the Gramm-Leach-Bliley Act.

2. Intellectual Property Rights

Our intellectual property: The Company owns all intellectual property rights in the Services, including source code, databases, software, designs, audio, video, text, photographs, and graphics ("Content"), plus associated trademarks and logos ("Marks").

Your use of our Services: Subject to compliance with these Legal Terms, you receive a non-exclusive, non-transferable, revocable license to access the Services and download Content for personal or internal business use only. No part of the Services may be copied, reproduced, or exploited for commercial purposes without express written permission.

Your submissions: By submitting feedback or suggestions ("Submissions"), you assign all intellectual property rights to the Company. You confirm responsibility for your content and warrant originality or proper licensing.

3. User Representations

By using the Services, you represent that:

  • All registration information is true and accurate
  • You maintain the accuracy of that information and promptly update it as needed
  • You possess legal capacity and agree to comply with these Terms
  • You are not a minor in your jurisdiction
  • You will not access the Services via automated means
  • You will not use the Services for illegal purposes
  • Your use complies with all applicable law

Providing false or incomplete information permits account suspension or termination.

4. User Registration

You may be required to register to use the Services. You must keep your password confidential and accept responsibility for all account activity. The Company reserves the right to remove usernames deemed inappropriate or objectionable.

5. Purchases and Payment

Accepted payment methods: Visa, Mastercard, American Express, Discover, and PayPal.

You agree to provide current, complete, and accurate purchase information and promptly update payment details. Sales tax applies where required. All payments are in US dollars. The Company reserves the right to correct pricing errors and refuse or limit orders at its sole discretion.

6. Subscriptions

Billing and renewal: Your subscription automatically renews unless canceled. You consent to recurring charges without prior approval for each charge until you cancel.

Free trial: New users receive a 30-day free trial. Your account remains uncharged until you upgrade to a paid plan.

Cancellation: Cancel anytime by logging into your account. Cancellation takes effect at the end of your current billing term. Contact support@aeto.app with questions.

Fee changes: The Company may modify subscription fees with advance notice as required by applicable law.

7. Software

Software accompanying the Services may include an end user license agreement (EULA). If no EULA exists, you receive a non-exclusive, revocable, personal, and non-transferable license for use solely with the Services. All software is provided "AS IS" without warranties of merchantability, fitness for a particular purpose, or non-infringement.

8. Prohibited Activities

You may not access the Services for purposes outside their intended use. Prohibited conduct includes:

  • Systematically retrieving data to create databases without permission
  • Defrauding users or attempting to learn sensitive account information
  • Circumventing security features
  • Disparaging or harming the Company or Services
  • Using obtained information to harass or abuse others
  • Misusing support services or filing false abuse reports
  • Violating applicable laws or regulations
  • Engaging in unauthorized framing or linking
  • Uploading viruses, malware, or disruptive content
  • Employing automated systems such as scripts, bots, or data extraction tools
  • Removing copyright or proprietary notices
  • Impersonating other users
  • Uploading information collection devices (spyware, web bugs, etc.)
  • Interfering with the Services or connected networks
  • Harassing Company employees or agents
  • Bypassing access prevention measures
  • Copying or adapting Services software, including decompiling or reverse engineering
  • Creating unauthorized accounts
  • Using the Services to compete with the Company

9. User Generated Contributions

The Services may allow you to create and submit content ("Contributions"). You represent and warrant that your Contributions do not infringe third-party intellectual property rights, that you own or have the necessary rights to your Contributions, that they are accurate and not misleading, and that they comply with all applicable laws. Contributions must not be obscene, harassing, or otherwise objectionable.

10. Contribution License

You and the Services agree that the Company may access, store, and process any information and personal data you provide per the Privacy Policy and your settings. Regarding feedback, you agree we may use and share it for any purpose without compensation. You retain full ownership of your Contributions and all associated intellectual property rights.

11. Mobile Application License

If accessing Aeto via the App, you receive a revocable, non-exclusive, non-transferable, limited right to install and use the App on devices you own or control. Prohibited conduct includes decompiling, reverse engineering, modifying, or creating derivative works from the App.

Apple and Android devices: When obtaining the App from the Apple App Store or Google Play, your license is limited to non-transferable use on the applicable platform. The Company provides maintenance and support; App Distributors have no obligation to do so. App Distributors are third-party beneficiaries with enforcement rights under these Mobile Application License provisions.

12. Services Management

The Company reserves the right to monitor the Services for Legal Terms violations, take appropriate legal action against violators, refuse or restrict Contributions, remove excessively large or burdensome files, and otherwise manage the Services to protect its rights and ensure proper functioning.

13. Privacy Policy

The Company cares about data privacy and security. Please review the Privacy Policy at aeto.app/privacy-policy. By using the Services, you agree to the Privacy Policy, which is incorporated into these Legal Terms. The Services are hosted in the United States.

14. Term and Termination

These Legal Terms remain in full force while you use the Services. The Company reserves the right to deny access to any person for any reason, including breach of these Legal Terms, without notice or liability. The Company may terminate or suspend your account and delete associated content at any time without warning. If your account is terminated, you may not register a new account.

15. Modifications and Interruptions

The Company reserves the right to change, modify, or remove Services content without notice. The Services may experience unavailability due to hardware, software, maintenance, or other issues. The Company reserves the right to modify or discontinue the Services without notice.

16. Governing Law

These Legal Terms and your use of the Services are governed by the laws of the State of New Hampshire, without regard to conflict of law principles.

17. Dispute Resolution

Informal negotiations: Parties agree to attempt informal negotiation of disputes for at least 30 days before initiating arbitration.

Binding arbitration: If informal negotiations fail, disputes are resolved exclusively through binding arbitration under the American Arbitration Association (AAA) Commercial Arbitration Rules. Arbitration may occur in person, via document submission, phone, or online. Absent other requirements, arbitration occurs in Hillsborough, New Hampshire.

Restrictions: Arbitration is limited to individual disputes. Class action procedures and representative capacity actions are prohibited.

Exceptions: Disputes seeking to enforce intellectual property rights, disputes relating to theft or piracy, and claims for injunctive relief are excluded from arbitration.

18. Corrections

The Services may contain typographical errors, inaccuracies, or omissions. The Company reserves the right to correct errors and update information without prior notice.

19. Disclaimer

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

20. Limitations of Liability

IN NO EVENT WILL THE COMPANY OR ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. THE COMPANY'S LIABILITY IS LIMITED TO AMOUNTS PAID BY YOU DURING THE SIX-MONTH PERIOD PRECEDING ANY CAUSE OF ACTION.

21. Indemnification

You agree to defend, indemnify, and hold the Company harmless from losses, damages, liabilities, claims, or demands made by third parties due to your use of the Services, breach of these Legal Terms, or violation of third-party rights.

22. User Data

You are solely responsible for all data you transmit to the Services. The Company has no liability for data loss or corruption, and you waive any right of action against the Company arising from such losses.

23. Electronic Communications, Transactions, and Signatures

Visiting the Services, sending emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, and communications satisfy legal requirements for written communication.

24. California Users and Residents

25. Miscellaneous

These Legal Terms and any policies or operating rules posted by the Company constitute the entire agreement between you and the Company. The Company's failure to exercise any right or provision of these Legal Terms shall not constitute a waiver of such right or provision. If any provision is found to be unlawful or unenforceable, the remainder of these Legal Terms remains in full force.
